Terms of Service

1. Agreement to these Terms

By accessing or using the Service, clicking to accept these Terms, or creating a ReplyDuck account, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service you represent and warrant that you meet these requirements and that your use complies with all laws and regulations that apply to you.

3. What ReplyDuck does

ReplyDuck is a research and drafting tool for Reddit marketing. The Service monitors publicly available Reddit conversations, scores them for relevance and intent to your product, and uses artificial intelligence to draft native-sounding comments that you may choose to post.

ReplyDuck does not post to Reddit for you and does not operate bots or automated accounts on your behalf. The Service surfaces opportunities and drafts replies; you review, edit, and publish each comment yourself, from your own Reddit account. You are solely responsible for anything you post.

4. Accounts and security

To use most features you must create an account and provide accurate, current, and complete information. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at [email protected] you suspect any unauthorized use. We may refuse, suspend, or reclaim any account or username at our reasonable discretion, including if information you provide is inaccurate or these Terms are violated.

5. Your Reddit account and credentials

Certain features require you to connect your own Reddit account or provide access so the Service can help you review conversations and verify whether comments you post remain visible. You represent that any Reddit account you connect belongs to you or that you are authorized to use it, and that connecting it does not violate Reddit’s terms.

You remain solely responsible for your Reddit accounts, their standing, and their content. We are not responsible for any action Reddit takes against your account, including removal of comments, rate limiting, shadow-banning, or suspension, however caused.

6. Plans, billing, trial and cancellation

Plans and limits. Paid plans are offered on a subscription basis with the features, usage limits, and prices shown at the point of purchase. We may change plans, limits, and prices going forward; changes will not affect the plan you have already paid for during its then-current billing period.

Free trial. We may offer a free trial. Unless you cancel before the trial ends, your subscription will begin automatically and your payment method will be charged at the applicable rate. We may modify or withdraw trial offers at any time.

Recurring billing and auto-renewal. Subscriptions renew automatically (monthly or annually, as selected) and your payment method is charged at the start of each billing period until you cancel. Fees are stated in the currency shown at checkout and are exclusive of taxes, which we add where required. Payments are processed by third-party payment providers, and you authorize us and them to charge your chosen payment method.

Cancellation and refunds. You may cancel at any time from your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period, and you keep access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods, unused allowances, or downgrades. If something has gone wrong, reach out — we want to make it right.

7. License to use ReplyDuck

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own internal business or personal use. We reserve all rights not expressly granted.

8. Acceptable use

You agree not to, and not to permit anyone else to:

• use the Service to send spam or to post deceptive, misleading, unlawful, harassing, hateful, defamatory, or infringing content;
• impersonate any person or entity, or misrepresent your affiliation with a product, person, or organization;
• use the Service to violate the terms, policies, or rules of Reddit or any other platform;
• copy, resell, rent, sublicense, or otherwise commercially exploit the Service except as expressly permitted;
• reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by law;
• scrape, crawl, or use bots or automated means to access the Service other than through interfaces we provide, or circumvent any usage limit, security, or rate-limiting measure;
• introduce malware or interfere with, disrupt, or overburden the Service or its infrastructure;
• access the Service to build a competing product or benchmark it without our written consent; or
• use the Service in any way that violates applicable law or the rights of others.

We may investigate suspected violations and may suspend or terminate access, remove content, and take appropriate legal action.

9. Reddit and platform compliance

ReplyDuck is an independent service and is not affiliated with, endorsed by, sponsored by, or connected to Reddit, Inc. in any way. “Reddit” and related marks are the property of Reddit, Inc. The Service accesses only publicly available Reddit information and does not act as an agent of Reddit.

Your use of Reddit is governed by Reddit’s own terms, content policy, and rules, and you are solely responsible for complying with them. Any dispute you have with Reddit is between you and Reddit. Reddit is not a party to these Terms and bears no responsibility or liability for the Service or for anything you post.

10. AI-generated content

The Service uses artificial intelligence, including third-party AI models, to analyze conversations and generate draft comments and other suggestions (“AI Output”). AI Output is provided to assist you and may be inaccurate, incomplete, out of date, biased, or otherwise unsuitable. AI Output is not professional, legal, financial, or marketing advice.

You are responsible for reviewing, editing, and deciding whether to use any AI Output before you post it. Because AI can produce similar responses for different users, we do not warrant that AI Output is unique, and we make no representation that it does not resemble content generated for others. To the extent we hold rights in AI Output, we assign them to you upon generation; however, you are responsible for ensuring any content you publish is accurate, appropriate, and lawful, and does not infringe the rights of others.

11. No guarantee of results

The Service helps you find relevant conversations and craft replies, but marketing outcomes depend on many factors outside our control, including your product, your engagement, your audience, and the decisions of Reddit and its moderators. We do not guarantee any specific results, including visibility, upvotes, traffic, leads, sales, or that comments you post will remain live or avoid removal, shadow-removal, or account action.

12. Third-party services

The Service integrates with and relies on third-party services, such as Reddit, AI model providers, payment processors, and notification channels including Telegram, Slack, email, and webhooks. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for their availability, accuracy, acts, or omissions. Third-party services may change or discontinue their offerings, which may affect the Service.

13. Intellectual property

The Service, including its software, design, text, graphics, and the ReplyDuck name and logo, is owned by us or our licensors and is protected by intellectual property laws. Except for the license granted above, these Terms do not transfer any right or interest in the Service to you. You retain ownership of the content you create and publish, and any AI Output assigned to you under Section 10.

14. Feedback

If you send us feedback, ideas, or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate them without any obligation or compensation to you.

15. Disclaimers

The Service is provided on an “as is” and “as available” basis, with all faults and without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content, scoring, or AI Output will be accurate or reliable. You use the Service at your own risk.

16. Limitation of liability

To the fullest extent permitted by law, in no event will ReplyDuck or its owners, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, or for any action taken against your Reddit or other accounts, arising out of or relating to the Service, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid us in the six months before the event giving rise to the claim, or one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless ReplyDuck and its owners, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, the content you post, your violation of these Terms, your violation of the terms or rules of Reddit or any third party, or your violation of any law or the rights of others.

18. Term and termination

These Terms apply while you use the Service. You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if we reasonably believe your use creates risk or legal exposure, or if we discontinue the Service. Upon termination, your license ends and you must stop using the Service. Sections that by their nature should survive termination — including intellectual property, feedback, disclaimers, limitation of liability, indemnification, and governing law — will survive.

19. Changes to the service and these Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

20. Governing law

These Terms are governed by the laws of Spain, without regard to its conflict of law rules. You agree that the courts located in Spain will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where prohibited by applicable law.

21. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure to perform caused by events beyond our reasonable control. Nothing in these Terms creates a partnership, agency, or employment relationship between us.
